Professor Agreement

The standard framework for practitioners who create courses, review work, host live sessions, and lead School of Outcomes campuses.

A professor engagement begins only when Scout Platforms LLC, doing business as School of Outcomes, and the professor sign an Order Form identifying the legal parties, services, compensation, term, and any negotiated changes.

1. Services and order forms

The professor will provide the course production, teaching, review, office hours, community participation, curriculum updates, or other services listed in an executed Order Form. Deliverables, milestones, service levels, and compensation in the Order Form control if they conflict with this standard agreement.

2. Practitioner and editorial standards

  • Maintain current, demonstrable experience relevant to the assigned campus.
  • Teach lawful, responsible, repeatable practice; separate fact, judgment, opinion, and personal experience.
  • Support claims and avoid guarantees about income, employment, clients, investment returns, or exceptional outcomes.
  • Keep lessons accurate, accessible, appropriately attributed, and free of hidden promotion.
  • Meet agreed response, review, live-session, and curriculum-refresh commitments.
  • Accept independent editorial, legal, accessibility, and safety review before publication.

3. Compensation

Compensation is stated in the Order Form and may include fixed production milestones, a monthly campus-lead retainer, approved service overages, and a discretionary or formula-based quality bonus. No compensation is earned for unapproved scope, fraudulent engagement, fabricated outcomes, or work that materially infringes third-party rights.

Unless the Order Form says otherwise, approved invoices are paid within 30 days after receipt. The professor is responsible for accurate tax forms, payment details, taxes, insurance, and business expenses. School of Outcomes may withhold amounts when legally required.

4. Content ownership

“Background Materials” are tools, frameworks, examples, and intellectual property created before the engagement or independently outside it. The professor retains Background Materials and grants School of Outcomes a worldwide, sublicensable license to use, adapt, host, display, perform, and distribute them as embedded in approved deliverables for the duration stated in the Order Form.

Unless the Order Form states otherwise, course scripts, lesson structures, assignments, rubrics, presentations, recordings, and other deliverables commissioned and paid for by School of Outcomes are specially commissioned works owned by School of Outcomes to the fullest extent permitted by law. To the extent ownership does not automatically transfer, the professor assigns those rights upon full payment. The professor retains the right to describe their general expertise and participation without distributing protected course materials.

5. Name, likeness, and recordings

The professor grants School of Outcomes permission during the engagement and reasonable wind-down period to use the professor’s approved name, biography, professional credentials, image, voice, and excerpts from recorded teaching to operate and market the relevant campus. Paid advertising or materially altered endorsements require approval unless expressly authorized in the Order Form.

6. Student work and confidential information

Student submissions, private messages, nonpublic profiles, review notes, analytics, business information, and security information are confidential. Professors may use them only to perform assigned services, may not export member lists, and must promptly report suspected loss or unauthorized access. Student work may not be used in a portfolio, case study, model-training dataset, or public example without documented permission.

7. AI-assisted work

Professors must disclose material use of generative AI in commissioned content, verify accuracy, protect confidential information, confirm sufficient rights, and remain accountable for the final work. No student submission, private message, confidential material, or restricted School of Outcomes content may be entered into an external AI service without written authorization and appropriate data protections.

8. Representations, conflicts, and endorsements

The professor represents that deliverables are original or properly licensed, do not knowingly infringe rights, and comply with law and professional obligations. The professor will disclose employer restrictions, sponsorships, affiliate links, investments, referral fees, litigation, sanctions, or other relationships that could reasonably affect teaching or recommendations.

Compensated promotion of School of Outcomes or third-party products must clearly disclose the material relationship and reflect honest experience.

9. Independent status

The intended relationship is independent contractor unless the Order Form or applicable law requires employment. Labels do not override law. The professor controls the manner and means of performing services subject to deliverables, deadlines, editorial standards, platform security, and student-safety requirements. Nothing creates authority to bind School of Outcomes, a partnership, franchise, or entitlement to employee benefits.

10. Community and safety duties

Professors must follow the Community Standards, maintain professional boundaries, avoid private off-platform solicitation of students, report credible safety concerns, and never use authority to seek romantic, sexual, financial, or coercive relationships with students.

11. Term, suspension, and termination

The Order Form defines the term. Either party may terminate as stated there. School of Outcomes may immediately suspend publishing, access, or student contact while investigating credible safety, fraud, confidentiality, infringement, or professional-integrity concerns. On termination, the professor will return or delete confidential information, transfer current course materials and operational context, submit final invoices, and reasonably support transition.

12. General terms

Scout Platforms LLC operates School of Outcomes. The executed Order Form, this agreement, and incorporated policies form the engagement agreement. Changes must be in writing. The Order Form identifies the legal parties, notice details, governing law, dispute process, insurance requirements, liability allocation, and any jurisdiction-specific worker-classification terms.
